This End User License Agreement ("Agreement") governs access to and use of F5 Automation, a private internal application provided by F5 Facility Services, LLC ("F5," "we," "us," or "our"). By accessing F5 Automation, connecting it to QuickBooks Online, or using its synchronization features, you agree to this Agreement. If you do not agree, do not use or connect the application.
F5—not Intuit—provides and licenses F5 Automation. The application connects F5's ServicePro operations system with F5's QuickBooks Online company to match customers, synchronize authorized customer and invoice records, synchronize payment-related information, reduce duplicate entries, and support F5's accounting and business operations.
You may use F5 Automation only if you are at least 18 years old, are authorized by F5, and have the authority required for the actions you perform. You may connect a QuickBooks Online company only if F5 has authorized you to act for that company and grant the requested QuickBooks permissions.
Subject to this Agreement, F5 grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to use F5 Automation solely for authorized F5 internal business purposes. F5 may change, limit, suspend, or revoke this license as permitted by this Agreement.
F5 Automation uses Intuit's OAuth 2.0 process. When an authorized QuickBooks company administrator approves the connection, you authorize F5 Automation to read, create, or update the company and accounting data needed for the integration's stated functions. The information involved is described in the F5 Automation Privacy Policy .
F5 Automation does not receive your Intuit password. You must not provide your Intuit password or another person's credentials to F5 Automation or to an unauthorized person.
You agree to:
F5 Automation supports business workflows but does not replace required human review, accounting controls, backups, approvals, or professional accounting, tax, or legal advice.
You may not:
As between you and F5, F5 retains its rights in its business data and records. You authorize F5 and its approved service providers to process data as necessary to provide, secure, maintain, and support F5 Automation. F5's collection, use, disclosure, retention, and deletion practices are described in the F5 Automation Privacy Policy , which is incorporated into this Agreement by reference.
QuickBooks Online and Intuit's APIs are third-party services provided by Intuit Inc. Your use of those services remains subject to Intuit's terms and privacy statements. Intuit is not a party to this Agreement, does not license F5 Automation, and is not responsible for its operation, support, warranties, or claims.
F5 Automation may depend on ServicePro, QuickBooks Online, internet connectivity, hosting providers, and other third-party services. F5 is not responsible for a third party's outage, change, suspension, or discontinuation, but F5 will use reasonable efforts to maintain and support the integration.
F5 is responsible for support, synchronization, and maintenance of F5 Automation. We may perform maintenance, correct defects, change features, or update the application to address operational, security, legal, or Intuit requirements. When practical, F5 will provide notice of material changes or planned discontinuation that affects authorized users.
F5 Automation, including its software, design, documentation, workflows, and related intellectual property, is owned by F5 or its licensors and is protected by applicable intellectual-property laws. Except for the limited license in this Agreement, no rights are granted to you.
F5 Automation and the business, customer, financial, security, and technical information available through it may contain confidential information. You must protect that information, use it only for authorized F5 purposes, and disclose it only to people who are authorized and have a legitimate need to know.
To the fullest extent permitted by law, F5 Automation is provided "as is" and "as available." F5 disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the application will be uninterrupted or error-free. Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply.
To the fullest extent permitted by law, F5 and its officers, employees, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption arising from F5 Automation. F5's aggregate liability arising from the application will not exceed the amount paid specifically for the affected use of F5 Automation during the twelve months before the event giving rise to the claim.
Nothing in this Agreement limits liability that cannot lawfully be excluded or limited. The limitations apply only to the extent permitted by applicable law.
F5 may suspend or terminate access if you violate this Agreement, no longer have authorization, create a security or operational risk, or if suspension is reasonably necessary to comply with law or Intuit requirements. You must stop using the application when your authorization ends.
When the QuickBooks connection is disconnected or authorization is revoked, F5 Automation will stop initiating QuickBooks API access and revoke or securely invalidate the stored authorization tokens. Disconnecting does not automatically delete legitimate accounting records already incorporated into ServicePro or QuickBooks Online. Retention and deletion are governed by the F5 Automation Privacy Policy and applicable recordkeeping obligations.
This Agreement is governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-laws principles. Any dispute that may be filed in court must be brought in a state or federal court located in Allegheny County, Pennsylvania, and the parties consent to that jurisdiction and venue.
F5 may update this Agreement to reflect changes to the application, law, security requirements, or Intuit requirements. We will update the "Last updated" date and provide additional notice when required. Continued use after an update becomes effective constitutes acceptance of the updated Agreement.
If a provision of this Agreement is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not assign this Agreement without F5's written consent. F5 may assign it as part of a merger, reorganization, asset transfer, or similar transaction. This Agreement and the F5 Automation Privacy Policy form the entire agreement concerning your use of F5 Automation unless a separate written agreement signed by F5 applies.
